VertForge End User License Agreement

This End User License Agreement ("Agreement") is between you ("User") and Video Quick Fix LLC, a New Jersey limited liability company ("Company," "we," "us"). By installing, copying, or using VertForge ("Software"), you agree to be bound by this Agreement. If you do not agree, do not install or use the Software.

1. License Grant

Subject to your compliance with this Agreement, the Company grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Software on Mac computers you own or control, for personal or commercial video editing purposes.

2. Subscription and License Keys

Access to "Pro" features of the Software requires a valid subscription license key issued by the Company. License keys are tied to your subscription and remain valid for the duration of your active subscription. If your subscription lapses, expires, or is canceled, Pro features may become unavailable.

The Company reserves the right to revoke any license key at any time for violations of this Agreement, including but not limited to sharing, redistributing, or attempting to bypass the license validation system.

License keys are issued to an individual or organization and may not be shared outside the licensed entity unless expressly authorized by the Company.

3. Restrictions

You may not:

  • Copy, redistribute, resell, lease, or sublicense the Software or any license keys

  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software

  • Modify, adapt, translate, or create derivative works based on the Software

  • Remove or alter any proprietary notices, labels, or marks on the Software

  • Use the Software in any manner that violates applicable laws or regulations

  • Share your license key with others or use a license key not lawfully issued to you

4. Intellectual Property

The Software, including all code, design, graphics, and documentation, is the sole property of Video Quick Fix LLC and is protected by U.S. and international copyright and intellectual property laws. This Agreement does not transfer any ownership rights to you.

The Software incorporates Adobe SDK components which remain the property of Adobe Inc. and are subject to Adobe's own license terms.

5. Updates and Modifications

The Company may release updates, patches, or new versions of the Software at its discretion. The Company is not obligated to provide updates and may discontinue or modify features at any time without notice.

6. Privacy and Data

The Software communicates with third-party services for license validation (Keygen) and update checks (Cloudflare). The Software and associated services may process information necessary for license management, subscription administration, support requests, and software updates. 7. Disclaimer of Warranty

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. THE COMPANY DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE OF HARMFUL COMPONENTS.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIDEO QUICK FIX LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SOFTWARE, EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL THE COMPANY'S TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Beta Software

Some versions of the Software may be designated as "beta" or "pre-release." Beta versions are provided for testing purposes only and may contain bugs, errors, or instability. Use of beta versions is at your own risk. Beta license keys may have time-limited validity and may be revoked at any time without notice.

10. Termination

This Agreement is effective until terminated. The Company may terminate this Agreement and revoke your license at any time if you breach any provision. Upon termination, you must cease all use of the Software and destroy all copies in your possession.

11. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of New Jersey, United States, without regard to conflict of law principles. Any disputes arising under this Agreement shall be resolved exclusively in the state or federal courts located in New Jersey.

12. Changes to This Agreement

The Company reserves the right to modify this Agreement at any time. Updated versions will be posted at this URL with a revised "Last Updated" date. Continued use of the Software after changes constitutes acceptance of the modified terms.
